These Terms of Use (“Terms”) govern your access to and use of the
Riverside Capital Partners LLC (“RCP”, “we”, “us”) websites,
including riversidecp.com, home.riversidecp.com,
app.riversidecp.com, investor.riversidecp.com, and
admin.riversidecp.com, together with any related services we provide
(collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility
The Services are intended for users who are at least 18 years old and located in jurisdictions where access is lawful. Access to investment-related portions of the Services is further restricted to individuals and entities that qualify as “accredited investors” as defined under Rule 501 of Regulation D of the U.S. Securities Act of 1933, and only after third-party verification of that status. Browsing the public marketing pages does not create an investor relationship of any kind.
2. No Offer of Securities
Nothing on this website constitutes an offer to sell, or a solicitation of an offer to buy, any securities. Securities are offered by RCP only to verified accredited investors under Rule 506(c) of Regulation D and only through final offering documents (Private Placement Memorandum, Operating Agreement, Subscription Agreement, and related materials). All economic projections, target returns, hold periods, and strategy descriptions on this site are illustrative and are not promises or guarantees of any outcome.
3. Investment Risks
Real estate investments are illiquid, speculative, and involve a substantial risk of loss, including loss of the entire amount invested. Past performance is not indicative of future results. Investments offered by RCP are not insured by the FDIC, SIPC, or any other federal or state agency. You should consult your own legal, tax, and financial advisors before making any investment decision.
4. Permitted Use
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services to violate any applicable law or regulation;
- Attempt to gain unauthorized access to any portion of the Services or any related systems;
- Scrape, crawl, or harvest data from the Services using automated means without our prior written consent (consistent with our published
robots.txtand similar mechanisms); - Interfere with or disrupt the Services, including by introducing malware or by overloading our infrastructure;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Use the Services to send spam, harass, or otherwise abuse our communication channels (including the contact form on this site).
5. User Submissions
When you submit information through any form on the Services — including the “Request investor access” contact form — you represent that the information is accurate and that you have the authority to provide it. We may use the information you submit to respond to your inquiry, evaluate your potential eligibility, and contact you regarding our Services. Our handling of personal information is described in our Privacy Policy.
6. Intellectual Property
The Services, including all text, graphics, logos, marks, code, layout, and content, are owned by or licensed to RCP and are protected by applicable intellectual-property laws. “Riverside Capital Partners”, the RCP logo, and related identifiers are trademarks of RCP. You may not copy, reproduce, distribute, modify, or create derivative works from the Services except as expressly permitted in writing by RCP.
7. Third-Party Links and Content
The Services may contain links to third-party websites, services, or content not owned or controlled by RCP. We do not endorse and are not responsible for the availability, accuracy, content, or privacy practices of any third-party site or service. Your use of any third-party site is at your own risk and subject to that third party’s terms.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WITHOUT LIMITING THE FOREGOING, RCP DOES NOT WARRANT THAT ANY INFORMATION ON THE SERVICES IS COMPLETE, CURRENT, OR ERROR-FREE.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RCP, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF RCP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Indemnification
You agree to defend, indemnify, and hold harmless RCP and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Services or your violation of these Terms.
11. Governing Law and Venue
These Terms and any dispute arising out of or relating to them are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any action arising under these Terms must be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the jurisdiction of those courts.
12. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date at the top of this page indicates when the Terms were most recently revised. Your continued use of the Services after a revision becomes effective constitutes your acceptance of the updated Terms.
